Terms of Service

Effective date: April 27, 2026

Preliminary version. These Terms are a working draft pending counsel review. They are binding once you use the Service, but specific sections may be revised when our final form is published. We will notify registered users by email of any material changes.

1. Who we are

AutoPersonas (the “Service”) is operated by Cuitt LLC, a limited liability company doing business as Castle Point Innovations (“Company,” “we,” “us”). References to “you” mean the individual or entity that registers an account or otherwise uses the Service.

2. Acceptance of these Terms

By creating an account, accessing the Service, or generating any content through the Service, you agree to these Terms, our Privacy Policy, and our Acceptable Use Policy. If you do not agree, do not use the Service.

You must be at least 18 years old to create an account. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. What the Service does

The Service lets you design AI-generated personas (“Characters”), produce images and videos featuring those Characters, generate captions, schedule posts, and connect to third-party social platforms. Outputs are produced using third-party AI models (including but not limited to Google’s Gemini family, OpenAI image models, Kling, MiniMax / Hailuo, and xAI / Grok); we are an orchestrator, not the creator of those underlying models.

AI outputs are inherently probabilistic and may contain inaccuracies, distortions, or unintended likenesses. We make no warranty that any output will be accurate, suitable for any particular use, or free of resemblance to real persons or copyrighted works; you are responsible for reviewing outputs before publishing or distributing them.

4. Your account

You are responsible for keeping your login credentials confidential and for all activity under your account. You must notify us at legal@castlepointinnovations.com as soon as you suspect any unauthorized use.

5. Content ownership and license

Your inputs. You retain ownership of any reference images, voice samples, prompts, and other materials you upload to the Service (“User Inputs”). You grant us a worldwide, non-exclusive, royalty-free license to host, process, and use User Inputs solely as needed to provide and improve the Service to you.

Your outputs. Subject to your compliance with these Terms and the Acceptable Use Policy, you own the AI-generated outputs you create through the Service (“Outputs”), to the extent any such ownership is available under applicable law. U.S. copyright law currently does not recognize copyright in purely AI-generated works; we make no representation that any Output is copyrightable.

You warrant that (a) you have all rights necessary to upload your User Inputs, (b) the User Inputs do not infringe any third party’s rights, and (c) your use of Outputs will comply with all applicable laws and the Acceptable Use Policy.

6. Prohibited uses

Some uses are absolutely off-limits regardless of your subscription. See the full list in our Acceptable Use Policy. In summary, you may not use the Service to:

  • Generate sexual content involving minors (real or simulated). This is a permanent ban with referral to law enforcement.
  • Generate non-consensual intimate imagery of any real person (including but not limited to public figures).
  • Create content intended to defame, harass, threaten, or impersonate a real person.
  • Infringe copyrighted works, trademarks, or other intellectual property.
  • Generate content for illegal purposes (fraud, election interference, securities manipulation, etc.).

7. Payment, subscriptions, and refunds

Some features require a paid subscription or are billed per use. Pricing is shown in the Service and on the Pricing page. Subscriptions auto-renew until canceled; cancel any time in Settings → Billing. We do not offer refunds for partially used billing periods or for previously consumed generation credits, except where required by law.

We use Stripe as our primary payment processor. By providing payment information, you authorize us and our payment processor to charge the applicable fees, taxes, and any AI-generation usage above your tier’s included quota.

8. Termination

We may suspend or terminate your account at any time, with or without notice, if we determine in our reasonable judgment that you have violated these Terms or the Acceptable Use Policy, or if continuing to provide the Service to you would expose us to legal risk. You may cancel your account at any time. Upon termination, we may delete your User Inputs and Outputs after a reasonable wind-down period.

9. Disclaimers

THE SERVICE AND ALL OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF AI-GENERATED OUTPUTS. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER WE NOR OUR LICENSORS, SUPPLIERS, OR AFFILIATES WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR REVENUES, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100) OR (B) THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Cuitt LLC, Castle Point Innovations, and our officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with (a) your access to or use of the Service, (b) your User Inputs or Outputs, or (c) your violation of these Terms or any applicable law.

12. Governing law and dispute resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute arising out of these Terms or the Service will be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.

Note: if Cuitt LLC is formed in a different state, this section will be updated to reflect that state’s law and jurisdiction.

13. Changes to these Terms

We may update these Terms from time to time. If we make material changes we will notify you by email or in-app notice at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
